NETINERA Deutschland GmbH
Background
Founded in 2003 as Arriva Deutschland and moved to Viechtach in 2004 with the acquisition of the Regentalbahn, the group passed to Deutsche Bahn with Arriva and was divested in 2010 as a merger-control remedy. Trenitalia and Cube Infrastructure then held 51% and 49%; on 3 December 2020 Trenitalia acquired Cube's stake for €117.8m and has been the sole shareholder since.
Company figures: some 63.9m train-kilometres a year, 402 trains, 1,469 buses, twelve workshop sites and more than 6,500 employees. The revenue figure the company publishes — €1.1bn in its press boilerplate, €1.2bn on its website — expressly covers fully consolidated and associated undertakings and is therefore not a consolidated statutory figure; it should not be used as a credit metric.
Group structure
Six rail operators sit under the holding: Die Länderbahn (brands alex, trilex, vogtlandbahn, oberpfalzbahn, waldbahn, with around 43 km of its own infrastructure), vlexx, metronom, erixx, erixx Holstein and ODEG. The northern operators are reached through Netinera Bachstein (95.34%), which holds 87.51% of Osthannoversche Eisenbahnen; metronom, enno and erixx sit beneath that.
Two of these are joint ventures, not controlled subsidiaries: ODEG is held 50/50 by Netinera's Prignitzer Eisenbahn and BeNEX — itself wholly owned by the UK-listed infrastructure fund International Public Partnerships since 2019 — and BeNEX holds a further 26.42% of metronom. Where an Italian state-railway covenant is being assumed behind an ODEG obligation, the assumption is wrong.
Market position and recent awards
The group has had a strong two years in tenders: metronom won the large lot 1 of the Hanse-Netz (June 2026 to December 2033, some 6.5m train-kilometres a year) and, in July 2026, the RE 5 Hamburg–Cuxhaven from December 2027 — a route it had lost in 2018. ODEG holds Westmecklenburg II from December 2025 to December 2040 (2.3m train-km a year) and lots 1 and 4 of the Netz Elbe-Spree to 2034. Die Länderbahn took the Munich–Prague interim contract again (December 2028 to December 2031, extendable twice by a year); erixx won the RB 39 »Salzexpress« in August 2026 (December 2028 to December 2033, around 690,000 train-km a year). vlexx runs the Dieselnetz Südwest until June 2037.
Rolling-stock financing
Netinera is the most instructive single group in the German market for financing structures, because five distinct models run side by side.
Purchase at holding level. For the Dieselnetz Südwest, the holding company itself — not the operating company vlexx — bought 63 Alstom Coradia LINT (LINT 54 and LINT 81, 140 km/h) from Alstom for just under €300m, in service from 2014. Whether a capital-service or re-use guarantee from Rhineland-Palatinate or Saarland flanks that purchase is not on the public record.
Structured lease with EIB participation. Lot 1 of the Netz Elbe-Spree is the reference transaction. DAL Deutsche Anlagen-Leasing is lessor, ODEG lessee; total investment cost €301.6m for 21 six-car Siemens Desiro HC plus spares; a terminable lease over 24 years with three years of construction period ahead of it; debt provided 50% by the European Investment Bank, backed by the EFSI guarantee, with Crédit Agricole CIB and Allianz Global Investors taking the balance. It was the first time the EIB entered a leasing structure for a German SPNV project, and it is the closest thing the market has to a template for institutional debt at asset level.
Operating lease plus federal subsidy. For Westmecklenburg II, ODEG leases 14 Stadler FLIRT Akku from Akiem over 13 years, with delivery from 2027. The procurement is supported under the federal »Alternative Antriebe im Schienenverkehr« directive of 3 February 2021, co-financed from the German Recovery and Resilience Plan (NextGenerationEU); Mecklenburg-Vorpommern added a grant of €11.1m for the Parchim workshop, charging infrastructure included. Battery fleets pull the workshop and the charging assets into the financing perimeter — they are not incidental.
Full authority ownership. On the Hanse-Netz the LNVG owns the locomotives and double-deck coaches, with maintenance contracted to Alstom. In Schleswig-Holstein the Land and NAH.SH own the Stadler FLIRT Akku fleet — 55 units ordered, of which 26 run with erixx Holstein — under a package of roughly €600m covering vehicles and thirty years of maintenance.
Operator provision with full responsibility. On the Salzexpress, erixx starts with its own LINT 41 and carries both provision and maintenance, with battery units envisaged from 2033 — a mid-contract technology change that has to be provided for at the outset.
Credit standing
The ultimate parent, Ferrovie dello Stato Italiane, is rated BBB+ / A-2 stable by S&P (reviewed 26 November 2025) and BBB+ / F1 stable by Fitch (21 October 2025). That rating does not travel down the chain by itself: no rating, guarantee or letter of comfort from Trenitalia or FS in favour of Netinera Deutschland or any of its subsidiaries is publicly available, and the German accounts have to be taken from the Bundesanzeiger.
One episode deserves a place in any credit memo. In early 2024 metronom demanded early termination of its running Hanse-Netz contract, citing personnel and energy cost increases that had not been foreseeable at the 2018 contract start; LNVG re-tendered ahead of time, and a loss-limitation clause in that procedure meant metronom could win only one of the two lots. Long PSO terms with weak indexation are a credit risk at the level of the transport contract itself — which is precisely the cash flow a fleet financing is built on.
